1Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website located at cuttys.com (the "Site"), the Member Login portal, the online payment portal, and any related services offered by Cutty's Campground ("Cutty's," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, please do not use the Site.

2About Cutty's

Cutty's is a private, member-owned camping resort located at 2500 SE 37th St, Grimes, IA 50111. The Resort is owned by its members through an undivided fractional interest and is operated on a non-profit basis for the benefit of its membership. Nothing in these Terms is intended to modify, supersede, or replace the Resort's governing membership agreement, bylaws, or rules and regulations, which control in the event of any conflict with these Terms as they relate to membership rights and obligations.

Access to the Resort, its facilities, and its seasonal amenities is generally limited to members and their accompanying guests, subject to the Resort's membership rules and seasonal operating dates (approximately April 1 through October 31).

3Eligibility & Accounts

The Site's Member Login portal and online payment features are intended for use by current members, prospective members, and authorized guests who are at least 18 years of age. You are responsible for maintaining the confidentiality of any login credentials associated with your account and for all activity that occurs under your account. Notify us promptly at info@cuttys.com if you suspect unauthorized use of your account.

4Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable federal, state, or local law
• Attempt to gain unauthorized access to the Member Login portal, payment systems, or any other secured area of the Site
• Interfere with or disrupt the operation of the Site or servers/networks connected to the Site
• Use any automated means (bots, scrapers, etc.) to access or collect data from the Site without our prior written consent
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Upload or transmit viruses, malware, or other harmful code

5Rentals & the Free Stay Offer

Information submitted through the Site regarding membership inquiries ("Join Our Team"/become-a-member forms), camper rentals, event rentals, or the free 2-night stay offer is a request for information or a booking inquiry only and does not itself constitute a binding reservation or contract. All bookings, rentals, and the free stay offer are subject to availability, applicable restrictions, and confirmation by Cutty's staff. 6Payments

Online payments made through the "Pay Online" link are processed by iPosPays, an independent third-party payment processor, and are subject to that processor's own terms of service and privacy policy in addition to these Terms. Cutty's is not responsible for the availability, functionality, or security practices of third-party payment platforms. You are responsible for ensuring that payment information you submit is accurate and that you are authorized to use the payment method provided.

7Assumption of Risk — Recreational Activities

Cutty's Resort offers recreational amenities, including swimming pools, a lake for kayaking and fishing, sports courts, playgrounds, a splash pad, hayrack rides, and other outdoor and group activities. Participation in any Resort activity is voluntary and undertaken at your own risk. To the fullest extent permitted by law, members and guests assume all risks of injury, illness, death, or property damage arising from their presence at, or use of, the Resort's facilities and activities, except to the extent caused by the gross negligence or willful misconduct of Cutty's.

Specific rules for use of pools, the lake, courts, playgrounds, and other amenities are posted on-site and are incorporated into these Terms. Members and guests are responsible for supervising their own children and guests at all times.

8Intellectual Property

All content on the Site, including text, graphics, logos, photographs, and the Cutty's name and marks, is owned by or licensed to Cutty's and is protected by applicable copyright, trademark, and other intellectual property laws. You may view and print content from the Site for your personal, non-commercial use only. You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written consent.

9User-Submitted Content & Reviews

The Site may display reviews and testimonials sourced from third-party platforms such as Google and Facebook. These statements reflect the opinions of their respective authors and do not necessarily reflect the views of Cutty's. If you submit a review, comment, or other content to us or to a linked social media page, you grant Cutty's a non-exclusive, royalty-free, worldwide license to display, reproduce, and reference that content in connection with promoting the Resort, unless you notify us otherwise.

10Third-Party Links

The Site contains links to third-party websites and services, including Google Maps, Facebook, Instagram, and our payment processor. These links are provided for convenience only. Cutty's does not control and is not responsible for the content, policies, or practices of any third-party site.

11Disclaimer of Warranties

The Site and its content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Cutty's does not warrant that the Site will be uninterrupted, error-free, or secure, or that information on the Site (including rates, availability, or amenity descriptions) is complete, current, or accurate.

12Limitation of Liability

To the fullest extent permitted by applicable law, Cutty's, its officers, directors, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, the Site or the Resort, even if advised of the possibility of such damages. In no event shall Cutty's aggregate liability arising out of or related to these Terms exceed the amount you paid to Cutty's, if any, in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13Indemnification

You agree to indemnify, defend, and hold harmless Cutty's and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Site or the Resort, your violation of these Terms, or your violation of any rights of a third party.

14Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Iowa, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or your use of the Site or Resort shall be subject to the exclusive jurisdiction of the state and federal courts located in Iowa, and you consent to personal jurisdiction and venue in such courts.

15Changes to These Terms

We may revise these Terms from time to time. The "Last Updated" date at the top of this document reflects the most recent revision. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. Material changes affecting membership rights will also be communicated in accordance with the Resort's governing membership documents.

16Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.
